Napa County Veterans Advocacy Coalition


The Napa County Veterans Advocacy Coalition is a working group that was formed to identify shortfalls in services provided to veterans and their families here in Napa County and to find solutions to these shortfalls.



Membership shall consist of organizations, agencies, associations and individuals that have an active interest in and commitment to support the service members, veterans and their families. The initial membership of the Coalition shall consist of the founding members:

  •  Napa County Red Cross
  • Napa County Health and Human Services
  • Napa County Veterans Service Officer
  • City of Napa Housing Authority
  • Yountville Veterans Home
  • Pathway Home
  • Napa Valley College
  • American Legion
  • Vietnam Veterans of America
  • OIF/OEF Veterans

Prospective members should submit an application to the Chairperson, the application will be sent out to Coalition members 7 days prior to the next scheduled monthly meeting. At the next scheduled monthly meeting application will be voted on by the membership of the Coalition. A majority vote is needed for acceptance to the Coalition.

Voting Members

 The Initial Membership of the Coalition and members voted into membership of the Coalition after adoption of these Bylaws will be deemed “voting members”.

III.           Voting

A majority of Coalition voting members constitutes a quorum. In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.

Passage of a motion requires a simple majority (i.e., one more than half the members present).

 IV.       Officers

 Officers shall include a Chairperson, Vice-Chairperson and Secretary. All Officers shall be elected from the voting members by a majority vote at the regular June meeting each year. Officers shall serve a term of one year, beginning July 1, without limit as to succession.

The Chairperson shall preside at all meetings of the Coalition. The Chairperson has general supervision of the business affairs of the Coalition and is the executive officer thereof. The Chairperson shall represent the Coalition at functions and meetings unless the Chairperson designates a fellow officer or member to represent the Chairperson.

The Vice-Chairperson assumes and discharges the duties of the Chairperson in the Chairperson’s absence or disability, or when called upon by the Chairperson. The Vice-Chairperson shall perform such other duties as may be directed by the Chairperson.

The Secretary shall be responsible for keeping records of Coalition actions, including overseeing the taking of minutes at all Coalition meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Coalition members, and assuring that Coalition records are maintained.

 1. Committees

 The Chairperson may recommend committees as needed to further the purposes of the Coalition. Members of such committees need not be members of the Coalition, except that each committee shall include at least one member appointed from the Coalition by the Chairperson.

 2. Resignation and Termination

 Any member may resign by filing a written resignation with the secretary. A member can have their membership terminated by a majority vote of the membership.

VII.          Vacancies

 Vacancies among the officers shall be filled by nomination and majority vote. Those filling vacancies shall serve the remainder of the term of the previous officeholder.

VIII.        Meetings

 Regular meetings of the Coalition shall be held monthly on the last Wednesday of the month. One-half of the voting membership shall constitute a quorum at any regular meeting of the Coalition. Membership shall be counted in establishing a quorum. Coalition meeting are for members only. The Vice-Chairperson will conduct meetings in the absence of the Chairperson. A majority of the members present is needed to approve action items. All meetings will be conducted in accordance with Robert’s Rule of Order (the latest revised edition).

To provide a method for taking action on urgent or emergency items deemed necessary for the good of the Coalition. The Chairperson will poll the voting members. Each Urgent Action Item will require a ¾ approval vote of the voting members. The roll call vote may be conducted by email or telephone.

1. Guest Attendance

Guests can attend the meeting by invitation only. Coalition members who wish to invite a guest presenter or potential new member should notify the Chairperson 7 days prior to the next meeting. The Chairperson will and Vice-Chairperson will have the final say on guest attendance.

2. Meeting Minutes

 Minutes will be taken by the Coalition Secretary at each Coalition meeting. The Secretary will summarize and sent out to the Coalition membership following the meeting. This summary of minutes is for Coalition voting members only. A quarterly report of activities of the Coalition will be posted by the Secretary on the site each quarter starting in July 2012.

 3. Financial Operation

 The Coalition may accept financial support in the form of in-kind contributions.

 XII.          Ratification and Amendments

 These bylaws may be amended by a majority vote of a quorum present at a regularly scheduled meeting of the Coalition, provided the proposed amendments have been distributed to the full membership at least 30 days prior to that meeting.
